This page is maintained by Raelynn King to explain the rules that govern your use of Ledgerly. By creating an account, starting a trial, or paying for a subscription, you agree to these Terms & Conditions. If you do not agree, please do not use the service.
1. Who we are
Ledgerly is operated by Raelynn King, located in Salt Lake City, Utah 84015. Contact: shastagirl@raelynnking.com. When these Terms say "we," "us," or "Ledgerly," they refer to Raelynn King.
Product description. Ledgerly is cloud-based bookkeeping, payroll, and sales-tax software for small businesses with 1–20 employees. Features include automatic bank sync, transaction categorization, sales-tax tracking, W2 and 1099 payroll, report generation, and an audit-ready document vault.
2. Acceptance & eligibility
By using Ledgerly, you represent that you are at least 18 years old and have the authority to bind yourself or the business you represent. If you sign up on behalf of a company, you represent that you are authorized to accept these terms for that organization.
3. Payments, subscriptions & Paddle
Subscriptions are billed through our online reseller, Paddle.com. Paddle is the Merchant of Record for all Ledgerly orders. Paddle provides customer service inquiries and handles returns.
For payment, billing, tax, cancellation, and refund mechanics, please refer to Paddle's Buyer Terms. By subscribing, you authorize Paddle to charge your selected payment method on a recurring basis until you cancel.
Plans are billed monthly or annually in advance. Prices are listed at /pricing and do not include sales tax, which Paddle may collect where required.
4. License & acceptable use
We grant you a limited, non-exclusive, non-transferable license to use Ledgerly during your active subscription, solely for your own business purposes.
You agree not to:
- Use Ledgerly for any unlawful purpose or in violation of any law.
- Send spam, phishing, malware, or interfere with our systems or security.
- Infringe intellectual property rights or misappropriate another's data.
- Reverse engineer, scrape, probe, or attempt to circumvent technical limits.
- Resell, redistribute, or sublicense access to Ledgerly.
- Share account credentials or allow unauthorized access to your account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and keep it updated.
5. Intellectual property
Ledgerly, including all software, designs, documentation, branding, and content, is owned by Raelynn King and is protected by copyright, trademark, and other laws. You retain ownership of any data, documents, or content you upload. By uploading content, you grant us a limited license to host and process it solely to provide the service.
6. Service level & disclaimers
We strive to keep Ledgerly available and accurate, but we do not guarantee uninterrupted or error-free performance. Features such as bank sync and tax filing depend on third-party providers and may be delayed or unavailable.
Ledgerly is provided "as is" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
Ledgerly is not a certified public accounting or legal service. Reports and calculations are for your review and should be verified with your CPA or attorney before filing.
7. Termination & suspension
We may suspend or terminate your access if you materially breach these Terms, fail to pay when due, create a security or fraud risk, or repeatedly or seriously violate our policies. Upon termination, your right to use Ledgerly ends immediately.
You may export your data before cancellation. After termination, we may delete your data in accordance with our Privacy Notice.
8. Liability & indemnity
To the fullest extent permitted by law, Raelynn King is not liable for indirect, incidental, consequential, or special damages, including lost profits, data, or goodwill. Our aggregate liability is capped at the total fees you paid to Ledgerly in the 12 months preceding the claim.
Nothing in these Terms limits liability for fraud, death, personal injury, or any liability that cannot be excluded by applicable law. You agree to indemnify and hold harmless Raelynn King from claims arising from your content, unlawful use, or violation of these Terms.
9. Governing law & disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of Ledgerly will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.
10. Changes & assignment
We may update these Terms from time to time. Continued use of Ledgerly after changes are posted constitutes acceptance of the revised Terms. We will notify you of material changes by email or through the app.
You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays caused by events beyond our reasonable control.
